Senior Legal Counsel

Senior Legal Counsel: 5 – 6 years of experience

Contract documentation including customer contracts, procurement contracts, logistics agreements, lease agreements, and property purchase agreements

Handling overall legal compliance for a manufacturing company

Good to Have:

Experience with shareholder contracts, share subscription agreements, and share purchase agreements during fund-raising.

Exposure to due diligence activities.

Optional: Litigation management

We are looking for a meticulous and detail-oriented Senior Legal Counsel to join our growing team. The ideal candidate will have

experience in drafting, reviewing, and negotiating a variety of legal documents, including customer and vendor agreements.

Knowledge of space law and statutory compliance is a strong advantage. This role will also involve handling due diligence, ensuring

legal compliance, and assisting with secretarial activities.

Responsibilities:

1) Drafting and Vetting of Agreements:

• Draft and review customer agreements (experience in the space sector is highly advantageous).

• Draft and vet vendor agreements, including those related to procurement, logistics, and services.

2) Non-Disclosure Agreements (NDAs):

• Draft, review, and negotiate NDAs with external stakeholders.

3) Space Law Expertise:

• Understand and interpret space laws, working closely with space authorities to ensure compliance with relevant regulations.

4) Statutory Compliance:

1. Ensure compliance with various statutory requirements, including but not limited to:

 

▪ Factories Act

▪ Environmental Acts

▪ Petroleum and Explosives Safety Organization (PESO) ▪ Labour Laws

▪ Information Technology Laws

▪ Data Protection Laws

2. Oversee timely filing of statutory returns.

5) Due Diligence:

• Conduct and manage legal due diligence for various business transactions.

• Experience in handling Equity and Debt fund raising transactions, Shareholder Agreements, Share Subscription Agreements

and Financing Agreements.

6) Drive implementation of Compliance management tool for the Company.

7) Interaction with Central and State Governments for policy driving and implementation in Space and other laws

8) Secretarial Support:

• Assist with company secretarial duties and ensure compliance with corporate governance requirements.

Qualifications:

1. Education:

• Bachelor’s degree in Law (LLB or equivalent). A Master’s degree in Law (LLM) would be an added advantage.

2. Experience:

• 8+ years of experience in legal drafting and compliance. Experience in the space sector is a plus.

Skills:

• Strong understanding of contract law and statutory compliance.

• Excellent drafting, negotiation, and communication skills.

• Familiarity with space law, environmental regulations, and labour laws is desirable.

• Ability to work independently as well as part of a team.

• High attention to detail and strong organizational skills.
