Job Description:
We are seeking a highly experienced and meticulous senior in-house resource to join our dynamic Legal Department. The primary focus of this role will be to provide expert legal advice and strategic support for the company’s land acquisition and development activities, with a deep specialization in land title scrutiny, devolution history, and detailed non-encumbrance verification. The successful candidate will be the legal guardian ensuring all property assets have clear, marketable, and defensible titles.
Key Responsibilities
1. Title and Due Diligence Expertise (Core Focus)
· In-depth Title Scrutiny: Conduct and oversee meticulous Title Due Diligence (TDD) for all potential land acquisitions, including urban, rural, and industrial properties.
· Land Title Devolution History: Independently prepare, analyze, and validate complex chains of title, tracing the entire history of property ownership and transfers to establish a clear and lawful pedigree.
· Non-Encumbrance Verification: Perform exhaustive checks for any and all encumbrances, including mortgages, liens, charges, lis pendens, easements, restrictive covenants, or pending litigation, ensuring properties are free and marketable.
· Risk Assessment and Mitigation: Identify, quantify, and propose legal strategies to mitigate title risks, defective titles, or gaps in the chain of ownership.
· Rectification and Documentation: Oversee and drive the legal process for title regularisation, mutation, property tax payment history, and the procurement of all necessary government/statutory clearances.
2. Transactional and Advisory
· Drafting and Negotiation: Draft, review, and negotiate high-value, complex real estate transaction documents, including Agreements for Sale, Sale Deeds, Conveyances, Joint Development Agreements (JDAs), Joint Venture (JV) agreements, and Power of Attorneys (POAs).
· Regulatory Compliance:
(i) Knowledge of all relevant real estate laws, including but not limited to RERA, land ceiling laws, stamp duty, and registration laws.
(ii) Knowledge of land acquisition and urban land ceiling laws, its procedure, stages, obtaining clearances and NOCs, Zila Parishad rules and Acts, ULC
(iii) Knowledge of KMC and Municipal laws together with Panchayet and Zilla Parishad Laws
(iv) Having sound knowledge of both law and procedure related to mutation, land conversion, record corrections, deletion/removal of any kind of embargo on land.
· Documentation Management: Establish and maintain a robust system for the organized and secure storage of all legal documents, title deeds, and due diligence reports for audit readiness.
3. Litigation and Risk Management
· Dispute Resolution: Manage and advise on property-related litigation, title disputes, boundary disputes, and matters involving government authorities.
· External Counsel Management: Liaise with, instruct, and manage external legal counsels for property litigation and specialized opinions, ensuring cost-effectiveness and alignment with company strategy.
4. Understanding of Law (including but not limited to):
· The Real Estate (Regulation and Development) Act
· Urban Land (Ceiling & Regulation) Act
· West Bengal Estate Acquisition Act
· The West Bengal Land Reforms Act
· The Land Acquisition Act
· The West Bengal Town and Country (Planning and Development) Act
· Kolkata Municipal Corporation Act and Building Rules made thereunder
· West Bengal Municipal Corporation Act and Building Rules made thereunder
· The Registration Act
· Indian Stamp Act together with West Bengal amendments
· Transfer of Property Act
· All inheritance and succession laws of India
